Warranties When Buying a Business

You will want the seller to give warranties whether you are buying assets or shares - contractual representations that the business/company is what the seller says it is. If it turns out that there is a breach of warranty which has not been disclosed you would be entitled to bring a claim and would seek to have the purchase price reduced by the amount of the claim.
