Commercial contracts
Every business will trade with third parties, whether as a customer or supplier.
Make sure your risk and liability are set out clearly or you could be exposed.
You can limit certain liability through insurance, but if you don’t have written terms governing the supply of your goods and services there will be terms implied by law. You might want more flexibility than this.
You may also need to protect confidential information and intellectual property rights.
If your business is a franchise, agency or distributorship you need to make sure you know what is expected of you.
If you are the franchisor, principal or supplying to a distributor, you want to make sure they will perform or what grounds you can terminate on.
Every contract is different
Every contract is different and needs to reflect the commercial realities. We have a strong analytical team and can prepare documentation that fits with the ethos and style of your business.
We often advise on and draft, review and negotiate:
- Terms and conditions
- Bespoke development, manufacture and supply agreements
- Franchise agreements
- Distributorship agreements
- Agency agreements
- Service level agreements
- Outsourcing arrangements
